MedSync Technologies Private Limited — Terms of Service

1. Acceptance of Terms
1.1. These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you” or “your”) and MedSync Technologies Private Limited (“MedSync”, “we”, “us”, or “our”).
1.2. By accessing or using the MedSync website (https://medsync.life), web applications, mobile applications, APIs, telemedicine platforms, or any other services provided by MedSync (collectively, the “Services”), you agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you must discontinue use immediately.


2. Eligibility
2.1. You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.
2.2. If you are a healthcare provider, you further represent that you are duly licensed under applicable law to practice medicine or healthcare services.


3. Account Registration & Security
3.1. To access certain Services, you must register for an account by providing accurate and complete information.
3.2. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.3. You agree to notify MedSync immediately of any unauthorized use or breach of security.


4. License & Use Restrictions
4.1. Subject to your compliance with these Terms, MedSync grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal healthcare-related purposes.
4.2. You shall not:
   a) Modify, adapt, translate, or create derivative works based on the Services;
   b) Disassemble, reverse engineer, or decompile any portion of the Services;
   c) Rent, lease, sublicense, distribute, or otherwise transfer rights to the Services;
   d) Use the Services to store, transmit, or process unlawful, infringing, or harmful content;
   e) Bypass or disable any security features or technological protections of the Services.


5. User Obligations & Representations
5.1. You shall comply with all applicable laws, regulations, and professional standards in your use of the Services, including but not limited to ABDM guidelines, DPDPA, IT Act 2000, and any relevant medical regulations.
5.2. You represent and warrant that any data or content you upload or transmit through the Services is accurate, lawful, and does not infringe any third-party rights.


6. Fees & Payment
6.1. Certain Services may be subject to subscription fees or usage-based charges as set forth on the Platform or in a separate agreement.
6.2. All fees are exclusive of taxes, duties, or levies imposed by governmental authorities, for which you shall be responsible.
6.3. MedSync reserves the right to modify fees upon thirty (30) days’ prior notice.


7. Intellectual Property
7.1. All intellectual property rights in the Services, including software, trademarks, trade names, logos, and documentation, are owned by MedSync or its licensors.
7.2. No rights or licenses are granted other than those expressly set forth herein.


8. Confidentiality
8.1. “Confidential Information” means any non-public information disclosed by one party to the other, including business plans, technical data, and patient information.
8.2. Each party agrees to maintain the confidentiality of Confidential Information and not disclose it except as permitted in these Terms or required by law.


9. Data Privacy & Security
9.1. Use of Personal Data is governed by our Privacy Policy, which is incorporated herein by reference.
9.2. You acknowledge that MedSync implements reasonable administrative, technical, and physical safeguards to protect Personal Data.


10. Warranties & Disclaimers
10.1. Disclaimer of Warranties: THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE (INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT).

10.2. No Medical Advice: THE SERVICES DO NOT CONSTITUTE MEDICAL ADVICE OR A SUBSTITUTE FOR PROFESSIONAL MEDICAL OPINION. HEALTHCARE PROVIDERS REMAIN SOLELY RESPONSIBLE FOR CLINICAL DECISIONS.


11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MEDSYNC BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. MEDSYNC’S AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO MEDSYNC IN THE SIX (6) MONTHS PRECEDING THE CLAIM.


12. Indemnification
You agree to indemnify, defend, and hold harmless MedSync and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, or expenses (including reasonable attorneys’ fees) arising out of or related to your misuse of the Services, violation of these Terms, or infringement of any third-party rights.


13. Termination
13.1. Either party may terminate these Terms for any reason with thirty (30) days’ prior written notice.
13.2. MedSync may suspend or terminate your access immediately upon breach of these Terms or if required by law.
13.3. Upon termination, you shall cease all use of the Services, and MedSync may delete or anonymize your data in accordance with our Privacy Policy.


14. Governing Law & Dispute Resolution
14.1. These Terms shall be governed by and construed in accordance with the laws of India.
14.2. Any dispute arising out of or related to these Terms shall be resolved by arbitration in Mumbai under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in English by a sole arbitrator appointed by mutual agreement or, failing that, by the Mumbai Centre for International Arbitration.


15. Force Majeure
Neither party shall be liable for any delay or failure in performance due to events beyond its reasonable control, including natural disasters, acts of government, or network failures.

17. Miscellaneous
17.1. Severability: If any provision is invalid or unenforceable, the remainder of these Terms will remain in full force and effect.
17.2. Entire Agreement: These Terms, together with the Privacy Policy and any authorizing agreements, constitute the entire agreement between you and MedSync.
17.3. No Waiver: No failure or delay by MedSync in exercising any right will constitute a waiver.
